Terms of Service

These Terms of Service (these “Terms”) set forth the conditions for using the services provided by Todor Tech, a sole proprietorship represented by 請求があった場合に遅滞なく開示いたします(the “Company,” “we,” “us,” or “our”). By using the Service, you agree to be bound by these Terms.
Article 1 (Application)
These Terms apply to your use of “Turely,” the AI character chat platform provided by the Company (the “Service”). By registering for or using the Service, you are deemed to have agreed to these Terms. The Company may amend these Terms as necessary. Amended Terms take effect when posted within the Service.
Article 2 (Definitions)
In these Terms, the following terms have the meanings set out below.
- “Service” means the AI character chat platform “Turely” operated by the Company.
- “User” means an individual or entity that registers for and uses the Service.
- “Content” means text, images, audio, and any other data provided or posted on the Service.
- “Caro” means the virtual currency that can be used within the Service.
- “Creator” means a user who provides characters on the Service.
- “Gift” means a digital item within the Service that a User may purchase by spending Caro and give to a character (Ture).
Article 3 (Accounts)
You must register accurate information when using the Service. You are responsible for managing your own account, and you may not disclose or transfer your login credentials to any third party. The Company accepts no liability for damages arising from unauthorized use of your account. You must be at least 13 years of age; persons under 13 may not use the Service.
You may link multiple sign-in methods (Apple, Google, email address, etc.) to a single account. This linking exists only to consolidate your future login entry points into one account. It does not merge multiple accounts that were created separately, nor does it transfer or share past data between accounts (such as purchased Tures, chat logs, Caro balances, memories, or likes). The Company does not provide any feature for merging separately existing accounts or migrating data between accounts, and does not perform manual merges or migrations through support or administrators. Please keep your use consolidated in a single account.
Article 4 (Fees)
Certain features of the Service require the in-app currency “Caro.” Caro can be purchased in legal currency (Japanese yen) through the payment services provided by Stripe, Inc. Purchased Caro is non-refundable (except in the case of a material defect as described in Article 8). The Company may change the price of Caro and the conditions of its use with prior notice.
The amount of Caro consumed by each feature is displayed within the Service. If a feature fails to complete due to a failure or communication timeout of the Service or of an external API, and you were unable to receive the result of that feature, the Company may refund the Caro spent on that feature to your balance as a compensation transaction.
Chat responses on the Service are generated using the APIs of external large language model (LLM) providers (such as OpenAI and Anthropic (Claude)). When you send a message, Caro is consumed in proportion to the LLM tokens used. In addition, in Ture chat, 3 CARO is consumed per message for voice generation (standard chat has no voice generation charge). If voice generation fails, the 3 CARO is refunded as a compensation transaction under the preceding paragraph.
When the Company revises these Terms or the prices or applicable conditions of Caro, the Company will notify Users at least 30 days before the effective date of the revision. Notice may be given through announcements within the Service or by contacting the email address you have registered.
Article 4-2 (Gifts)
You may spend your Caro to purchase Gifts and give them to a character (Ture). A Gift is a purchase of a digital item within the Service; the service is considered fully rendered when the purchase is confirmed and the character’s thank-you performance (voice, motion, etc.) is provided. Gifts cannot be exchanged for legal currency, Caro, or any other item of monetary value.
- No refunds: Gift purchases cannot be cancelled or refunded once confirmed (except for compensation transactions under Article 4 and the Company’s prescribed handling of payment chargebacks and the like). Before you confirm a purchase, the amount of Caro to be spent and your balance after purchase are displayed on screen.
- Purchase limits: Gift purchases are subject to per-purchase and cumulative monthly limits set by the Company. Once a limit is reached, the Company will not accept further purchases.
- Minors: Minors who purchase Caro or use Gifts must obtain the prior consent of a parent or other legal guardian.
- Gifts to Company-operated characters: Proceeds from Gifts given to Company-operated characters that have no Creator are used for the development and operation of the Service (this is displayed on screen before you confirm the purchase).
- Support messages: You may optionally attach a support message to a Gift. Support messages can be viewed only by the Creator of the recipient character (or by the Company for Company-operated characters); they are not displayed publicly or shown to other users, and they are not used in the character’s (AI-generated) responses.
- Message restrictions and review: Support messages are subject to character-count and other restrictions set by the Company, and messages that may fall under the prohibited conduct in Article 5 may be rejected. If a Creator files a report, the Company may review the content of the message in order to respond.
- Creator-side receiving controls: Creators may stop receiving support messages, hide individual messages, or block messages from specific users. Where such settings are in place, messages cannot be attached, but Gifts themselves can still be given.
Article 5 (Prohibited Conduct)
You must not engage in any of the following when using the Service.
- Conduct that violates laws or public order and morals
- Conduct that infringes the intellectual property rights, image rights, privacy, or other rights of the Company or any third party
- Unauthorized access, reverse engineering, or any other improper interference with the system
- Nuisance conduct toward other users, harassment, or defamation
- Spam, phishing, or distribution of malware
- Commercial advertising through the Service (except where permitted by the Company)
- Creating or distributing child sexual abuse material (CSAM), sexual depictions of children, or content depicting violence or abuse directed at children (regardless of whether the child is real or a fictional or AI-generated character)
- Any other conduct the Company deems inappropriate
The Company has the authority to review characters, 3D models, and other content listed or posted on the Service for conformity with the prohibitions in this Article and with the Service’s operating policies, and to decide whether such content may be published. Even after publication, if a violation or inappropriateness is found, the Company has the authority to take necessary measures such as suspending new purchases and delisting the content from the marketplace.
If you discover content or conduct on the Service that violates the prohibitions in this Article, you must promptly report it through the reporting features provided by the Service. Content that threatens the safety of children in particular must be reported and handled with the highest priority, and the Company will conduct the necessary investigation and take measures based on the report.
Article 6 (Intellectual Property Rights)
Intellectual property rights relating to the Service belong to the Company or to their rightful holders. Rights in content you post on the Service remain yours; however, you grant the Company a non-exclusive license to use such content to the extent necessary to provide, improve, and promote the Service.
Copyright in characters provided by Creators belongs to the Creators. In selling on the Service, a Creator grants the Company and purchasing Users a non-exclusive license as necessary for the use of the character within the Service. This license continues, for as long as the Service remains in operation, to the extent necessary for purchasing Users’ use of the character within the Service, and cannot be unilaterally revoked or terminated by the Creator. Even where the Company takes measures such as suspending new purchases under Article 5, use within the Service by Users who have already purchased continues under this license. The matters a Creator can configure within the Service are limited to the sale price and other sale conditions permitted by the Company.
Article 7 (Disclaimers)
AI-generated content provided on the Service is generated automatically, and the Company does not guarantee its accuracy, completeness, or appropriateness. To the extent permitted by law, the Company is not liable for damages arising from AI-generated content. The Company is not liable for damages arising from the interruption, suspension, modification, or termination of the Service. The Company has no obligation to become involved in disputes between users or with third parties.
Article 8 (Changes to and Termination of the Service)
The Company may change or terminate the Service with prior notice to Users. In the case of termination, the Company will give prior notice within a reasonable period. If the Service could not be used due to a material defect, the Company will consider remedies on a case-by-case basis.
Article 9 (Personal Information)
The Company handles personal information in connection with the Service appropriately in accordance with its separately published Privacy Policy. By agreeing to these Terms, you are also deemed to have agreed to the Privacy Policy.
Article 10 (Special Provisions for Creators)
This Article sets out special provisions applying to Creators who sell characters (including 3D models) on the Service. If this Article conflicts with any other provision, this Article prevails with respect to matters concerning Creators’ sales.
- Listing requirements and identity verification: To sell as a Creator, you must register a Connect account with the payment provider designated by the Company (Stripe, Inc.) and complete identity verification (KYC). You must keep the registered information of that account accurate and up to date.
- Compensation and payment cycle: Proceeds from completed sales are remitted to the Creator’s Connect account, after deduction of the Company’s prescribed platform fee and payment processing fees, approximately 60 days after the date each sale is completed. This 60-day period also serves as a holding period for handling infringement claims, chargebacks, and the like described below. Fee rates, minimum payout amounts, and other payment conditions are shown in the creator guide and dashboard, and the Company may change them with prior notice following the procedure in Article 4.
- Warranty of rights and indemnification: Creators warrant that the characters and other items they list do not infringe the copyright, trademark, image, publicity, or any other rights of any third party. If the Company or a third party suffers damages or costs (including attorneys’ fees) arising from a Creator’s listing, the Creator shall indemnify them.
- Withholding and cancellation of payment: If a third party asserts an infringement or similar claim within 60 days after a sale, or if the Company otherwise reasonably determines that fraud or a breach of these Terms may exist, the Company may withhold or cancel payment for the sale and, where necessary, refund the purchaser.
- Gift revenue share: For Gifts given to a Creator’s character, 70% of the amount after deduction of payment processing fees is credited as the Creator’s share (a flat rate independent of the tiered share for character sales, with no variation based on sales volume). Credited shares are remitted under the same holding period, minimum payout, and settlement cycle as character sales. The settlement of chargebacks and the like (next item) also applies to Gift shares.
- Settlement of chargebacks and similar costs: If a chargeback (payment dispute), refund, reversal, or other cost arises after a sale, the Company may deduct the amount and related fees from unpaid amounts or accumulated shares owed to the Creator. Note that credit card chargebacks may reach back up to approximately 540 days after payment.
- Publication review and delisting: As set out in Article 5, the Company reviews and decides whether listings may be published, and even after publication may take measures such as suspending new purchases and delisting from the marketplace if a violation or inappropriateness is found.
- Disclosure of AI-generated materials: If a listing contains AI-generated materials, the Creator must declare this at the time of posting.
- Handling when a Creator becomes unreachable: If a Creator fails to respond to the Company’s communications for a substantial period, the Company may proceed as follows: a warning at 3 months; suspension of new payouts at 6 months; handling through heirs or other representatives at 1 year; and, for unpaid amounts outstanding for more than 3 years, reversion to the Company. In all cases, use within the Service by Users who have already purchased continues under the license in Article 6.
- Handling upon withdrawal (account deletion): If a Creator deletes their own account and withdraws, the characters and other items the Creator had published stop being available for new purchaseand are delisted from the marketplace. However, Users who purchased and own such characters before the withdrawal may continue to use them within the Service after the withdrawal under the license in Article 6. Records of the Creator’s earnings and payments are retained in anonymized form, so that no individual can be identified, to the extent required by tax and accounting retention obligations. The link to the Creator’s Connect account with the payment provider (Stripe, Inc.) is severed upon withdrawal.
Article 11 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute relating to the Service.
Article 12 (Governing Language)
These Terms are prepared in Japanese, and the Japanese version constitutes the official, governing text. This English version is a reference translation provided for convenience only. In the event of any discrepancy or difference in interpretation between the Japanese version and this English translation, the Japanese version shall prevail.
